Searchers sometimes use company formation agent to mean an incorporation service. In U.S. LLC law, registered agent has a narrower statutory meaning. The formation company's job
The formation company collects order information, prepares Articles of Organization or the equivalent, submits the document, tracks status, and delivers the approved filing. Its core work ends when the contracted filing service and corrections are complete.
Formation support is optional. An eligible owner can usually file directly with the state. The provider fee pays for convenience and workflow rather than access to a separate legal path.
The registered agent's job
The registered agent is named in state records and maintains the qualifying office required for legal delivery. The agent accepts service of process and covered government notices and forwards them to the company.
The appointment continues after formation and normally renews annually when a commercial service is used. The LLC must maintain an agent for as long as state law requires it.

Why one company often sells both
A formation provider already collects the state and entity information needed to appoint an agent. Bundling creates a smoother order and recurring revenue. Some companies include the first agent year, while others discount or separately sell it.
Convenience does not merge the contracts. Record the formation fee, agent price, agent start date, renewal, and cancellation terms separately.
Can the owner use different companies?
Yes. An owner can file directly or hire one service for formation and appoint another eligible person or company as registered agent. The formation provider does not need to remain involved after approval unless another service was purchased.
Using separate providers can improve pricing or fit, but the owner must supply accurate agent information and ensure the appointment is active when the state filing is submitted.
Pricing differences
Formation is usually a one-time provider charge plus the government filing fee. Registered-agent service is normally a recurring annual charge per entity and state. Promotions can make year one look inexpensive while renewal becomes the larger long-term cost.
Compare at least two years. Include state agent-change fees, multi-state appointments, mail forwarding, document storage, and annual-report services sold alongside the agent.
What neither service automatically handles
Neither role automatically provides legal advice, chooses tax classification, writes a custom operating agreement, opens banking, obtains insurance, manages licenses, files tax returns, or answers a lawsuit. Those tasks require owner action or separate engagements.
A registered agent may send an annual-report reminder without filing the report. A formation company may provide a template without advising whether it fits the owners.
How to choose
Choose a formation company for filing workflow, support, corrections, and document delivery. Choose a registered agent for reliable local presence, fast legal-document forwarding, privacy expectations, coverage, and predictable renewal.
The best company formation agent is not automatically the best statutory agent. Score each role separately, even when one brand sells both.
Simple example
An owner hires Company A to prepare a Texas LLC filing and appoints Company B as the registered agent. Company A's job ends after delivering the approved filing. Company B remains on the public record, receives covered legal notices, and bills annually until replaced.
If the owner cancels Company B, a replacement should be appointed and accepted by the state before coverage ends. Canceling the agent does not dissolve the LLC or undo the original formation.
